Over the past 10 years several high profile incidents of corporate failure and managerial misconduct have put the mechanisms for governing complex organisations under scrutiny. Drawing on case studies of global corporations, this Briefing argues that when discussing issues of corporate governance within complex organisations, an integrated governance framework should be used; going beyond compliance with internal and external rules, to include mechanisms for ensuring organisational performance and knowledge management. The authors suggest that an organisation can create value through its businesses by addressing, and eventually integrating, three sides of accountability: compliance, performance and knowledge.
